Terms of Use
These Terms of Use ("Terms") apply to your use of samvle.co and to anything you submit through it, including ideas shared with our venture studio and enquiries about our services. The site is operated by Samvle Inc. ("Samvle", "we", "us"). By using the site or submitting a form, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the site.
1. Who can use the site
You must be at least 18 years old, or the age of majority where you live, to submit an idea or an enquiry. If you submit on behalf of a company, you confirm you're allowed to do so.
2. Sharing an idea with us
Your idea stays yours
You keep ownership of your idea and everything you submit. Submitting does not transfer any rights in your idea to Samvle.
What you allow us to do
You give Samvle a limited, non-exclusive, royalty-free permission to store, review, evaluate and discuss your submission internally and with the service providers listed in our Privacy Policy, including AI evaluation, for the purpose of evaluating it, preparing your Venture Blueprint and communicating with you. This permission ends when you ask us to delete your submission, except for copies we must keep by law.
What you confirm
You confirm that you have the right to share what you submit, that it doesn't infringe anyone else's rights, and that it doesn't include confidential information belonging to someone else, such as an employer, without their permission.
Confidentiality
We treat submissions as confidential and handle them as described in our Privacy Policy. We never sell your idea, share it publicly, or use it to build anything without you. If you'd like a signed non-disclosure agreement before sharing details, ask us first at team@samvle.co. A signed NDA, where one exists, takes priority over this section.
Similar ideas
Many people have similar ideas, and Samvle builds its own products and works with other creators and clients. You agree that Samvle may develop, or work with others on, ideas, products or services that are similar to yours, as long as we do so independently and without using the confidential details you shared with us. Receiving your idea does not limit our existing or independent work.
No obligation
Submitting an idea does not create a partnership, employment relationship, investment, joint venture or agreement to work together. We may decline any submission, and we're not required to explain why in detail. Any work together, including any fee arrangement or co-investment, requires a separate written agreement signed by both of us.
3. Your Venture Blueprint
If we send you a Venture Blueprint, it's yours to keep and use however you like, including building on your own or with another team. The Blueprint is prepared with the help of AI and reviewed by our team. It's general guidance based on what you told us. It is not legal, financial, tax, investment or other professional advice, and it does not guarantee any result. Please get professional advice before relying on it for important decisions. Our name and branding on the Blueprint remain ours.
4. Services for businesses
Information on samvle.co about our services, such as security monitoring, engineering, automation, product, brand and fractional leadership, is a general description and not an offer. Any engagement, including its scope, timeline, price, service levels and responsibilities, is governed by a separate written proposal or agreement. If that agreement conflicts with these Terms, the agreement applies.
5. Acceptable use
When using the site, you agree not to:
- submit false information, spam, or content that is unlawful, harmful, harassing or infringing;
- upload malware or files you don't have the right to share;
- try to bypass our spam protection, overload or attack the site, or access areas or data you're not authorized to;
- use automated tools to submit forms or copy the site's content in bulk;
- impersonate anyone or misrepresent your connection with any person or company.
6. Our content
The site's design, text, graphics, logos and code belong to Samvle or its licensors and are protected by law. You may view and share pages for personal or internal business use, but you may not copy, modify or reuse them commercially without our written permission. "Samvle", InTransit and Lunda are names used by Samvle Inc.
7. Links to other sites
The site may link to other websites, such as our products or third-party services. We aren't responsible for their content or practices.
8. Disclaimers
The site and its content are provided "as is" and "as available". To the extent the law allows, we make no warranties of any kind, including that the site will always be available, error-free or secure, or that any information on it is complete or suitable for your purpose.
9. Limitation of liability
To the extent the law allows, Samvle and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities, arising from your use of the site, your submission, or any Venture Blueprint, even if we were told such damages were possible. Our total liability for any claim relating to the site or these Terms is limited to CAD $100. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnity
You agree to compensate Samvle for reasonable losses and costs, including legal fees, arising from content you submit that you didn't have the right to share, or from your breach of these Terms.
11. Changes and termination
We may update these Terms. The new version applies from the date it is posted here, and it won't change how we've agreed to treat a submission you already made. We may suspend access for anyone who breaks these Terms.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and Samvle agree to the courts of Ontario for any dispute, unless the law where you live gives you the right to bring a claim locally. If any part of these Terms is found unenforceable, the rest remains in effect.
